Ohio LLC Formation Under ORC Chapter 1706
Forming a Limited Liability Company in Ohio is governed by ORC Chapter 1706, the Ohio LLC Act. An LLC provides the core benefit that most business owners seek: limited liability protection, meaning members are generally not personally liable for the company's debts and obligations. Combined with pass-through taxation (avoiding corporate double taxation) and flexible governance, the Ohio LLC is the most commonly chosen business structure for new businesses in the state. LLC formation is one of the most requested services within our Ohio business law practice. At Jwayyed Law LLC, we assist clients with all aspects of LLC formation — from Articles of Organization filing to operating agreement drafting and post-formation compliance guidance. For a broader overview of entity types, see our business formation page.
The Ohio LLC formation process begins with filing Articles of Organization with the Ohio Secretary of State. The current filing fee is $99. The Articles must designate a statutory agent (registered agent) with an Ohio address — the person or entity who will receive legal notices on behalf of the LLC. Under ORC 1706.08, while a written operating agreement is not legally required, it is strongly advisable for any multi-member LLC and even for single-member LLCs. An operating agreement establishes ownership percentages, profit and loss allocation, management structure, voting rights, and procedures for member withdrawal or dissolution — all of which become critical if a dispute arises between members. Ohio LLCs with Ohio taxable gross receipts above $150,000 annually are subject to the Commercial Activity Tax (CAT) under ORC Chapter 5751. Registration with the Ohio Department of Taxation is required once the CAT filing threshold is met. Federal tax obligations depend on how the LLC elects to be treated for federal income tax purposes — a default pass-through entity (sole proprietorship or partnership treatment) or an S-corp or C-corp election. Our attorney advises on the tax and registration obligations that apply to your specific business as part of the overall formation process.
Maintaining the LLC's liability protection after formation requires proper conduct: keeping business and personal finances separate, adequately capitalizing the business, documenting significant decisions and transactions, and avoiding personal guarantees of LLC obligations where possible. Ohio courts can pierce the LLC veil and impose personal liability on members when the LLC is a mere alter ego of its owners. Our attorney advises on the operational practices that preserve the liability shield provided by ORC 1706.26.
